Foresea is a privately held company, and its operating strategy is guided by institutional laws and decrees that govern the oil and gas industry in Brazil and worldwide, as well as its own guidelines and documents approved in Assembly by its Board of Directors.

The Board of Directors of Foresea is responsible for directing and guiding the business in economic, social, and environmental matters, establishing strategic guidelines that will be executed by the Executive Board. It's also the Board's responsibility to elect the Executive Director and the company CEO.

Rogério Ibrahim

CEO

Graduated in Civil Engineering (IME - Military Institute of Engineering, 1983), with a university extension in Business Administration (COPPEAD-UFRJ, 1985). From 1985 to 1988, he worked for Vale, responsible for the Commercial Planning Area.

He moved to the Odebrecht Group in 1988, where he spent his career holding managerial positions in different units such as Controllership, Treasury, Project, and Corporate Finance. Appointed as CFO for several companies of the Odebrecht Group, including Odebrecht Engineering & Construction (E&C), Santo Antônio Energia S.A., and Odebrecht Energia.

Before assuming the presidency of Foresea, he served as CFO of Ocyan S.A. from January 2013 to May 2023.

Heitor Gioppo

COO

Graduated in Petroleum Mechanical Engineering, with a post-graduation in Business Management from FGV, specializing in Corporate Finance from LSE (London School of Economics), and certified by the Project Management Institute - PMI.

He has 39 years of experience in the Oil & Gas sector, with 25 years in the Odebrecht group, where he joined the former OPL (Odebrecht Perfurações Ltda.). Between 2014 and May 2023, he held the position of Executive Vice President of the Drilling Business Unit at Ocyan.

Additionally, in 2019, he was appointed President of IADC Brazil (International Association of Drilling Contractors). He assumed the vice presidency of Drilling at Foresea in June 2023.

Patricia Ruiz

CFO

Graduated in Business Administration and Economics (PUC-SP Pontifical Catholic University of São Paulo, 2006 and 2008), with a university extension in Corporate Finance (IBMEC-RJ-2011). After working for Vale and Editora Abril, she started her career in the Oil & Gas industry in 2007 at Grupo Schahin, in Project Finance.

She moved to Odebrecht Oil and Gas in 2009, where she dedicated a significant part of her career to financial and strategic roles in various areas such as Project Financing, Corporate Finance, Investor Relations, Market Intelligence, and Strategic Planning.

She assumed the vice presidency of Finance & Investments at Foresea in June 2023, after two years as M&A and Finance Manager at Novonor, a group in which she led transactions in various segments such as Petrochemical (Braskem), Oil & Gas (Ocyan), Hydropower Plants (Santo Antônio Energia), Multi-Purpose Arenas (Arena Fonte Nova, Corinthians), among others.

Mário Nano

VP Controllership & Administration

Graduated in Business Administration, Accounting Sciences, and post-graduated in Accounting, with over 35 years of professional experience in the areas of consulting, controllership, and auditing, where he worked as a consultant and independent auditor in several Brazilian and foreign companies.

He assumed the vice presidency of Controllership & Administration at Foresea in June 2023, bringing with him more than 8 years of experience at Ocyan S.A., where he held the position of Controller until April 2023, being responsible for coordinating improvement processes in the systems and procedures in the administrative and financial areas.

He is a member of the Fiscal Council of the private pension plan of Vexty and also has many years of experience as a university professor in undergraduate and MBA courses, as well as an instructor in various specific training programs.

Carolina Ferreira Caetano da Silva Lemos

VP Legal & Governance

Graduated in Law (UNIFACS - Salvador University, 2001), worked at PwC from 2003 to 2008 as a specialist lawyer in tax, corporate, and auditing and consulting at a Big 4. She started her career in the Oil & Gas industry in 2008 at Odebrecht Oil and Gas, assuming management responsibility for the company's corporate and tax structure in Brazil and abroad.

She moved to the legal department of Odebrecht Engineering and Construction in 2013, providing legal support in major infrastructure projects and public works.

She assumed the vice presidency of Legal & Governance at Foresea in June 2023, after 5 years in the legal department of Ocyan, where she worked in strategic litigation, tax matters, structured finance, and business support.

Marco Aurélio

VP Sustainability

Bachelor's degree in Electrical Engineering and Work Safety with specialization in Environmental Management and Process Safety, certified in the USA by the Board of Certified Safety Professionals and OPITO in the UK in petroleum processing technology.

His career began in the 1990s as the Coordinating Engineer of Work Safety at Odebrecht Perfurações LTDA. Over more than 25 years, building his career and experience in Sustainability & ESG in the oil and gas industry in Brazil and abroad, in managerial and executive positions, participating in the development of business strategies in safety, health, environment, social responsibility, climate change, and energy transition.

He assumed the vice presidency of Sustainability at Foresea in June 2023, after more than 13 years as vice president of the same area at Ocyan.

Gilberto Couto

VP Compliance

Graduated in Business Administration from CEFET-RJ, with a specialization in Compliance from FGV. He worked as Planning Supervisor at Data Mídia, FCBi, and as Business Risk Consultant at ICTS Protiviti.

He worked in Internal Audit and Fraud Investigation departments at Oi S.A. He was Compliance/Risks Manager at Brasil Brokers for two years and returned to Oi S.A. as Anti-Corruption Compliance Manager.

He assumed the vice presidency of Compliance at Foresea in June 2023, after working as Compliance Manager (2017) and Vice President of the same area (2019) at Ocyan.
